Terms of Engagement

These Terms of Engagement set out the basis on which KAS Workplace Solutions provides HR consultancy services. By engaging our services, you confirm that you have read, understood, and agreed to these terms.

About Us

KAS Workplace Solutions is a sole trader HR consultancy providing outsourced HR advisory and workplace support services to small businesses.

Section 2

Scope of Services

KAS Workplace Solutions provides HR consultancy services as agreed between both parties prior to commencement of work. The scope of each engagement will be confirmed in writing before work begins.

All services are delivered by email unless otherwise agreed in writing. We do not provide legal advice. Where matters require legal input, we will advise you to seek independent legal counsel.

Section 3

Retainer Services - Scope and Boundaries

Retainer packages cover day-to-day HR support only. This includes general queries, guidance, drafted letters, basic documentation, and policy updates within the agreed monthly hours.

The following are not included within retainer hours and will always be scoped and quoted separately, regardless of your retainer tier:

Unused retainer hours do not roll over to the following month. Hours expire at the end of each calendar month.

Retainer packages run on a rolling monthly basis. Either party may end the arrangement with 30 days' written notice.

Section 4

Payment Terms

All services are invoiced prior to commencement of work. Payment is required in full before work begins. Payment is accepted by bank transfer only. Details will be provided on each invoice.

Retainer fees are invoiced at the start of each calendar month. Support will not commence until payment has been received.

For add-on services outside of retainer scope, a separate invoice will be issued before work begins.

Section 5

Cancellation and Refunds

Due to the bespoke nature of our services, payments are non-refundable once work has commenced. Work is considered commenced from the point at which KAS Workplace Solutions begins any activity related to your instruction, including initial review, research, drafting, or correspondence.

If you wish to cancel before work has commenced, please notify us in writing as soon as possible at info@kasworkplacesolutions.co.uk. Cancellations received before any work has started will be considered for a full refund at our discretion.

Section 6

Delivery of Documents

All documents prepared by KAS Workplace Solutions are tailored to your business and delivered in editable format upon receipt of full payment. Draft previews are not provided prior to purchase.

Revisions within the agreed scope are included. Significant changes outside the original brief may be subject to additional charges.

Documents are provided as HR guidance tools. They do not constitute legal advice. You remain responsible for taking independent legal advice where required.

Section 7

Client Responsibilities

You agree to:

KAS Workplace Solutions provides HR guidance and support. Responsibility for compliance with employment law remains with the client at all times.

Section 8

Confidentiality

Both parties agree to keep confidential all information shared in the course of this engagement that is not publicly available. KAS Workplace Solutions will not disclose your business or employee information to any third party without your consent, except where required by law.

All personal data is handled in accordance with our Privacy Policy and the UK GDPR.

Section 9

Intellectual Property

All documents, templates, policies, and materials created by KAS Workplace Solutions remain our intellectual property until full payment has been received, at which point a licence to use them within your business is granted.

You may not resell, redistribute, or present our documents as your own work to third parties.

Section 10

Limitation of Liability

KAS Workplace Solutions holds Professional Indemnity Insurance. Proof of cover is available on request.

Our liability is limited to the fees paid for the specific service giving rise to the claim. We are not liable for any indirect or consequential losses arising from your use of our services or documents.

Section 11

Communication

All services are delivered by email. Our standard response time is within 24-48 hours on business days (Monday to Friday, excluding UK public holidays).

All instructions, amendments, and approvals must be confirmed in writing by email.

Section 12

Governing Law

These Terms of Engagement are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Section 13

Changes to These Terms

We reserve the right to update these Terms of Engagement at any time. Updated terms will be published on our website and provided to active clients on request. Continued engagement with our services following an update constitutes acceptance of the revised terms.
